General Terms and Conditions for events and room reservations at STEINENSCHANZE Charming City & Garden Hotel, Basel


1. Scope:
These General Terms and Conditions (hereinafter: GTC) govern the legal relationship between the guest/customer (hereinafter: customer) and the STEINENSCHANZE Charming City & Garden Hotel Basel (hereinafter: hotel), which is owned by the COMPAGNA Basel association.
Only the GTC of the hotel valid at the time of contract conclusion apply. Individual agreements between the customer and the hotel take precedence over the GTC. Otherwise, the statutory regulations apply.
General Terms and Conditions of the customer are excluded. References to the General Terms and Conditions of the customer have no effect.


2. Definitions:
Groups/Group Travel: Groups or group travel in the sense of these GTC are travel groups of 10 or more persons.
Individual Travel: Individual travel in the sense of these GTC are travel groups with fewer than 10 persons.
Written (Confirmation) Confirmation: Written (confirmation) confirmations also include email messages.


3. Conclusion of Contract and Subject Matter of Contract:
The contract between the hotel and the customer is only concluded when the reservation agreement has been confirmed in writing by the hotel. Changes to the contract are only binding for the hotel upon written confirmation. If the customer registers additional guests, they are liable for the total amount resulting from the reservation. A reservation made on the day of arrival is only binding at the moment of acceptance by the hotel.
The specific services are based on the individual reservation confirmation or the contract.


4. Options:
Option dates are binding for both parties. After the expiry of the option period, the hotel can freely dispose of all rooms or services without further notice, provided that there is no mutual signed order confirmation with the hotel.


5. Check-in and Check-out Regulations for Hotel Rooms:
Unless otherwise agreed, the customer has the right and obligation to use the rented rooms from 2:00 PM on the day of arrival and to vacate the rooms by no later than 12:00 PM on the day of departure.
The hotel is entitled to charge 80% of the agreed room price if the rented rooms are not vacated in time.
The hotel can freely dispose of reserved hotel rooms that are not occupied by 6:00 PM on the day of arrival. This does not apply if a later arrival has been agreed upon in writing and by phone, and the reservation is guaranteed with a credit card number or a prepayment. A guarantee for a later arrival can also be provided by the company that made the reservation. In this case, a precise address must be provided.


6. Number of Participants for Events and Group Travel:
The customer is obliged to inform the hotel of the final and binding number of participants for events and group travel as early as possible, but no later than 48 hours before the date of the event or arrival. Deviations in the number of participants downwards (compared to the number reported as final) will be considered up to a maximum of 5%. Further deviations downwards cannot be considered and are at the customer's expense.


7. Prices:
The prices communicated by the hotel are in Swiss Francs (CHF) and include the statutory value-added tax. The customer is obliged to pay the agreed or applicable prices of the hotel for the room rental and any additional services they use. This also applies to orders from their companions and visitors. An increase in statutory charges after the conclusion of the contract is at the customer's expense.
Price indications in foreign currencies are guidelines and will be charged at the respective daily exchange rate. The prices confirmed by the hotel are valid. The hotel can change the prices if the customer subsequently causes changes in the number of booked rooms, the services of the hotel, or the duration of stay of the guests.
The conversion into the customer's currency is for information purposes only and has no contractual effect. Any costs incurred in connection with the conversion from the hotel's currency to that of the customer (exchange rate, bank fees) are at the customer's expense.
The stated prices apply, unless otherwise stated (packages), per room or service for the pre-selected number of persons and dates. Unless included in the rate or specifically selected otherwise at the time of reservation, additional services (breakfast, half board, full board, etc.) are to be paid on-site.


8. Payment Obligation:
Advance Payments:
The hotel is entitled to request an advance payment in accordance with the reservation agreement. If an advance payment is made, it is to be understood as a partial payment of the agreed fee. The hotel may also request a credit card guarantee instead of an advance payment. An advance payment must be transferred within 10 days of receipt of the reservation confirmation. If the reservation is made at short notice, the hotel requires a credit card guarantee for the entire booking amount. In the event of late advance payment or provision of the credit card guarantee, the hotel can withdraw from the contract (including all performance promises) immediately (without reminder) and demand the cancellation costs listed in Section 9 of these GTC.
The hotel has the right to settle or interim billing of its services against the customer at any time.
Final Invoice:
General: The final invoice includes the agreed price plus any additional amounts incurred due to additional services of the hotel for the customer and/or their accompanying persons. The hotel may charge a reminder fee of CHF 10.00 for each reminder. The right to set-off against claims of the hotel is excluded.
Individual Travel: The final invoice is to be paid in cash or by accepted credit card in Swiss Francs at the latest upon checkout on the day of departure, unless otherwise agreed.
Group Travel/Events: Without other agreement, the hotel will invoice the incurred expenses after the event or arrangement. The customer undertakes to settle the hotel invoices within 10 days from the invoice date without deduction.
If the customer's company pays the costs of the stay, the same conditions apply as for events.


9. Withdrawal by the Hotel:
Up to and including 5 days before the agreed arrival day of the customer, the hotel can withdraw from the contract without any cost consequences for the hotel. Furthermore, the hotel is entitled to withdraw from the contract at any time for a justified reason by means of an immediate unilateral and written declaration with immediate effect.
Justified reasons include, for example:
stipulated advance payment or security deposit is not made within the period set by the hotel.
orce majeure or other circumstances not attributable to the hotel that make the fulfillment of the contract objectively impossible.
ooking or using rooms or spaces under misleading or false information, e.g. regarding the identity of the customer or the purpose of use or stay.
ircumstances that give the hotel justified reason to assume that the use of the agreed services may impair the smooth operation of the business, the safety of other hotel guests, or the reputation of the hotel.
ustomer insolvency (bankruptcy or fruitless seizure) or cessation of payments.
ircumstances where the purpose or reason for the stay is illegal.
In the event of a withdrawal by the hotel for the aforementioned reasons, the customer has no claim for damages. The compensation for the booked services remains fundamentally owed.


10. Cancellation of the Reservation / Cancellation Fees:
Cancellation:
The cancellation of the reservation agreement must be communicated to the hotel by the customer as early as possible and requires the written consent of the hotel. Without consent, the agreed price must be paid even if the guest does not make use of the contractual services.
Cancellation fees for events or group travel:
If the cancellation of the group trip or event occurs up to 31 days before the event, no cancellation fees will be charged by the hotel. Otherwise, regardless of the reason for cancellation, the following cancellation fees will be charged:
50% of the reserved services for a cancellation between 30 and 16 days before the event or arrival date,
75% of the reserved services for a cancellation between 15 and 8 days before the event or arrival date,
100% of the reserved services for a cancellation between 7 and 0 days before the event or arrival date as well as for a no-show.
Cancellation fees for individual travel:
If the cancellation of the reservation agreement occurs by 12:00 PM on the day of arrival, no cancellation fees will be charged. Otherwise, regardless of the reason for cancellation, the following cancellation fees will be charged:
50% of the reserved services for a cancellation between 12:00 PM and 6:00 PM on the day of arrival,
100% of the reserved services for a cancellation after 6:00 PM on the day of arrival as well as for a no-show.
Mitigation of Damages:
The hotel strives to reallocate the services not used for both cancelled individual and group reservations to other parties. If the hotel can provide the cancelled services to third parties within the agreed period, the customer's cancellation fee will be reduced by the amount that these third parties pay for the cancelled service.


11. Liability:
Liability of the Hotel:
The hotel limits its liability towards the customer within the scope of legal possibilities for slight and moderate negligence as well as for liability independent of fault and is only liable for damage caused intentionally or through gross negligence. The burden of proof lies with the customer. If valuables (jewellery, etc.), cash or securities are not handed over to the hotel for safekeeping, the hotel's liability is excluded within the scope of legal possibilities.
If any damage is not reported to the hotel immediately upon discovery, the customer's claims will be forfeited. The hotel is not liable under any legal title for services that it has merely mediated to the customer. The hotel rejects any liability for theft and damage to materials brought in by the customer, organizer, speakers, participants, or third parties.
Liability of the Customer:
The customer is liable to the hotel for all damages and losses caused by them, companions, assistants, or event participants without the hotel having to prove any fault on the part of the customer. The customer is responsible for the correct use and proper return of all technical aids/facilities provided by the hotel or procured through third parties on its behalf and is liable for damages and losses. The customer is liable for services and expenses incurred by the hotel in relation to third parties.
Liability of Third Parties:
If a third party makes the booking for the guest, they are jointly liable to the hotel as the orderer together with the guest for all obligations arising from the contract. Regardless of this, every orderer is obliged to pass on all booking-relevant information, especially these general terms and conditions, to the guest.


12. Further Provisions:
Publicity:
Advertisements in media (such as newspapers, radio, television, internet, etc.) referring to the event at the hotel require prior written consent from the hotel.
Curfew:
Evening extensions of the event are only possible after prior coordination with the hotel. If the reserved event is expected to exceed the legal closing time (curfew), the customer must contact the hotel as early as possible (but necessarily before the start of the event) so that the necessary permits can be obtained. The evening extension of the event is only possible if the necessary permits are available. The costs incurred in connection with obtaining the permit as well as the permit fees are to be paid by the organizer and will be invoiced to them.


13. Applicable Law / Jurisdiction:
For all contracts, reservations, any additional agreements, as well as general conditions, only Swiss law applies, excluding conflict of laws. The place of performance and payment is Basel-Stadt.
The place of jurisdiction for any disputes arising from this contract is Basel-Stadt.
